§ 1
Name and address
The name of the association is Helsingin Rakennusmestarit ja -insinöörit AMK ry, which is referred to as the association in these rules. The association's registered office is in Helsinki.
The association is a member association of Rakennusmestarit ja -insinöörit AMK RKL ry. The association complies with the federation’s rules and accepts the federation’s principles. In these rules, Rakennusmestarit ja – insinöörit AMK RKL ry is referred to as the federation.
Member associations form cooperation areas, which are called districts. The districts are unregistered. The association belongs to the Helsinki district.
§ 2
Purpose and function
The purpose of the association is
1) be a professional association of individuals.
2) be a member association of the union that maintains the professionalism and general esteem of its members.
3) develop cooperation between employees working in construction and real estate.
To achieve its purpose, the association:
ensures the professional development of its members, raising their status and prestige, and improving working conditions and general employment opportunities,
monitors and promotes developments in the construction sector by issuing statements and maintaining contact with the construction authorities in their area,
cooperates with other construction industry organizations,
acts as a link between its members, supports and guides them,
promote and maintain the professional skills of its members,
organize meetings, information, lectures, negotiations and training, as well as celebrations, exhibitions and study tours, sports competitions, cultural events and other similar events and leisure activities,
engage in publishing and publishing activities related to their field,
cooperates with vocational schools and students in the region,
appoints its representatives to local construction industry expert, research, training, standardization, etc. committees and to organizations carrying out training and development work,
draw the attention of authorities, decision-makers and the public to the development of construction activities and to improving the status and working conditions of the professions they represent,
maintains contact and cooperates with other construction organizations in their locality,
also operates in other ways comparable to those mentioned above to achieve its goals.
To support its activities, the association may receive grants, donations and bequests, organize fundraisers, raffles, markets and entertainment events after obtaining the relevant permit.
The purpose of the association is not to make a profit or other direct financial gain for those participating in the association's activities, and the association's activities must not otherwise constitute the pursuit of financial gain.
§ 3
Membership
A person who has completed a technical school or an equivalent or higher technical qualification and is approved as a member by the association's board may be accepted as a full member of the association.
Other construction employees who work in technical, administrative and commercial positions in the construction and real estate sectors or who have acquired equivalent qualifications, such as employees working in the building services (HVAC = heating, water, ventilation, electricity, automation and information technology) sectors, can also be full members.
A written application for full membership of the association is approved by the association's board. An approved member receives the association's and union's rules, which he or she has given a written commitment to follow.
A full member of the association, the honorary chairman of the association, honorary members of the association and the honorary chairman of the association who pay the annual membership fee have the rights and benefits of membership of the association. They may also belong to several member associations of the association, but at the meetings of the association and the district they may vote only as a representative of the one association that has authorized them to do so.
The association may also have as full members those who do not pay and are not subject to payment of the annual membership fee. They do not have membership rights or membership benefits.
The association may, upon the proposal of the board, invite both a regular member and an external person who has significantly promoted the association's activities or has performed particularly meritorious work for the benefit of the construction industry to become an honorary member.
The association may invite a person who has served as the association's chairman with distinction to be its honorary chairman. Only one person can be the honorary chairman at a time.
A registered association formed by individual members of the association, whose rules are approved by the association's board, can also become a full member.
In addition to regular members, the association may have supporting members who do not meet the association's membership requirements. Supporting members do not have the association's membership rights and benefits, but they pay a supporting membership fee approved by the association's board, which is higher than the membership fee for regular members. Supporting members may be individuals, companies or organizations. The board decides on the membership benefits of supporting members.
A student member may be accepted upon separate application if he/she is studying in a construction department or a department related to the construction field at a technical institution or university of applied sciences or higher technical institutions and pays the student membership fee confirmed by the association's autumn meeting. Student members do not have membership rights in the union. The association's board decides on the membership benefits of student members.
External honorary members, supporting members and student members have the right to speak, but not the right to vote, at the association's meeting.
§ 4
Membership fees and annual association fee
Regular members pay an annual membership fee to the association, the amount, method and time of payment of which are decided by the association's autumn meeting. In accordance with the agreement between the association and the union, the union collects an annual fee from those association members who have the union's membership rights and benefits, taking into account the decisions of the union meeting.
The association's board may grant a member a discount on the association's share of the membership fee.
1) who joins the association in the middle of the year,
2) or only receives part of the association's membership benefits,
3) or who was exempt from membership fees under previous rules,
4) only for special reasons such as military service, financial difficulties, etc.
The association meeting decides on the collection of additional membership fees.
The association receives a discount on the annual membership fee of the following members, as decided by the association meeting:
1) who join member associations in the middle of the year or
2) who receive only part of the union's membership benefits or
3) whose member associations were exempted from paying annual fees under previous rules or
4) who turn 65 or older in the calendar year
5) The amount of the annual student membership fee for student members is confirmed by the autumn meeting.
The honorary chairman of the association and the union and the honorary members of the union are exempt from the association's membership fee and the union's annual fee.
The annual fee is not paid for members exempted by the federal government for special reasons, nor for registered associations formed by individual members who are members of member associations, nor for supporter and student members.
An association may be required to pay a registration fee to the federation for a former member who has been deemed to have resigned due to non-payment of membership fees, but who reapplies to become a member of the member association. The amount of the registration fee is decided by the federation board.
5§
Resignation and expulsion of a member of the association
If a full member receiving the association's membership benefits has not paid the association's membership fee, which also includes the association's annual fee in accordance with Section 4 of the rules, within three (3) months from the due date, the association's board of directors will declare him or her resigned at the next meeting, at which time his or her membership rights and membership benefits will cease.
The association may expel a member who acts contrary to the association's rules or objectives. The expulsion proposal is made by the association's board.
A former member of the association who has been deemed to have resigned due to non-payment of membership fees may be required to pay the membership fee when he or she reapplies for membership.
§ 6
Convening of association meetings
The meetings of the association are convened by the board. The notice of the meeting must be sent no later than seven days before the meeting, either by sending a written notice to each member or by publishing the notice in a newspaper published in the association's domicile, as decided by the board of the association. If a member of the association wishes to have a matter discussed by the association, he or she must notify the board in writing in sufficient time for the matter to be included in the notice of the meeting.
§ 7
Association meetings
Two regular meetings are held per year, the Spring Meeting in April-May and the Autumn Meeting in October-November at a location determined by the Board.
An extraordinary meeting shall be held if the board deems it necessary or if at least one tenth (1/10) of the association's members
of the voting members requests it from the board in writing. The meeting must be held within 30 days of the request being made.
Voting at meetings shall be by open ballot, but elections shall be by secret ballot. Unless otherwise provided in these rules, decisions shall be made by majority vote, except that an absolute majority of votes shall be used in the election of the chairman of the association. In the event of a tie, the election shall be decided by drawing lots, but in other matters the opinion of the chairman of the meeting shall be decisive.
§ 8
Annual meetings
The following issues will be discussed at the association's spring meeting:
1) the meeting shall be opened by the Chairman or Vice-Chairman of the Board of Directors. If they are unable to attend, the oldest member of the Board of Directors present shall open the meeting.
2) a chairman of the meeting, two scrutineers, tellers of the minutes and a secretary are elected from among the members of the association,
3) it is stated that the meeting has been convened in accordance with the rules and has a quorum,
4) approve the matters to be discussed at the meeting,
5) the annual report and financial statements and the auditors' statement are presented, a decision is made on the adoption of the financial statements and the discharge from liability of the Board of Directors and those responsible for accounting,
7) decide on other measures that may be required by the financial statements,
8) other matters proposed by the union and the district and mentioned in the notice of the meeting are discussed,
9) discuss initiatives intended for the association and discuss other possible matters,
10) other matters mentioned in the notice of the meeting are discussed,
11) closing the meeting.
The following matters will be discussed at the association's autumn meeting:
1) the meeting shall be opened by the Chairman or Vice-Chairman of the Board of Directors. If they are unable to attend, the oldest Board member present shall open the meeting,
2) a chairman of the meeting, two scrutineers, tellers of the minutes and a secretary are elected from among the members of the association,
3) it is stated that the meeting has been convened in accordance with the rules and has a quorum,
4) approve the matters to be discussed at the meeting,
5) the action plan, income and expenditure estimate, the amount and method of payment of membership fees and any joining fee are confirmed, and the remuneration and other compensation of the chairmen and other members of the board are decided upon,
7) the number of board members is decided,
8) the Chairman of the Board of Directors is elected for a term of two calendar years and the other members of the Board of Directors are elected to replace those who resign for a term of two calendar years,
9) the amount of the auditors' fees is decided, and if necessary
10) two (2) auditors and two (2) deputy auditors are elected,
11) the association's candidate for the chairman of the association is decided,
12) elect the association's candidates for the federal board,
13) elect the association's representatives to the federal assembly and, if necessary, district assembly representatives,
14) other matters proposed by the association and mentioned in the notice of the meeting are discussed,
15) Association candidates are elected to the association's committees
16) discuss initiatives intended for the association and discuss other possible matters,
17) other matters mentioned in the notice of the meeting are discussed,
18) closing the meeting.
§ 9
Administration
The affairs of the association are managed by a board elected at the autumn meeting, which includes a chairman elected from the association's regular membership for two calendar years at a time, and at least eleven (11) and at most fourteen (14) other members elected for two years at a time.
The term of office of the Chairman of the Board and other members is two calendar years, so that half or nearly half of the other members are due to resign each year. The term of office is determined by the term of office or, if a decision cannot be made on the basis of that, by drawing lots. A person who has been due to resign may be re-elected, however, so that the continuous term of office of a member of the Board and the Chairman is three two-year terms, i.e. six years.
The Board of Directors has a quorum when the Chairman or, in his absence, the first Vice Chairman elected by the Board for one year from among its members, or, in his absence, the second Vice Chairman, are present, so that at least half of the Board members are present.
§ 10
Board of Directors' duties
The Board's duties include:
1) elect the 1st and 2nd Vice-Chairmen of the Board for the calendar year and the Secretary,
2) prepare the matters to be discussed at the meetings,
3) implement the decisions of the association's meetings,
4) manage the activities of the association in accordance with the decisions of the meetings,
5) take care of the acquisition of funds and financial management as well as accounting,
6) maintain contact with its members, other member associations of the association operating in the surrounding area and the association office, maintain a membership register, hire and dismiss employees who are employed by the association.
9) The Board may appoint a working committee to assist in preparing matters, either from among its members or from outside.

§ 11
Chair
The chairman represents the association and directs and supervises the association's activities in accordance with these rules, association meetings and board decisions in order to achieve the goals set by the association.
§ 12
Writing the name of the association
The name of the association is written by the chairman of the board and one of the other board members, always two together.
The association's board may grant an official, together with another official designated by the association, the right to write the association's name.
§ 13
Closing accounts
The association's accounts are closed each calendar year. The accounts, the board's annual report and the minutes are submitted to the auditors.

§ 14
Changing the rules
A proposal to amend these rules must be submitted to the board no later than two months before the regular meeting. The proposal will be discussed, as stated in the notice of the meeting, only at the regular meeting, and its approval requires a 3/4 majority of all votes cast at the meeting. The member association of the association must submit its rule amendment to the board for approval before registration.
The association may decide that the rules in accordance with the pre-reviewed rules will be implemented immediately after the approval meeting in the association's internal operations. The rules must be submitted to the association register for approval.
§ 15
Dissolution of the association
A proposal to dissolve the association, which must be submitted to the association's board of directors no later than three months before the regular meeting, will be discussed as stated in the notice of the meeting, first at the regular meeting and then at the association's meeting to be held after an interval of at least two months, and its approval requires that at both of these meetings at least 3/4 of all votes cast in the vote support the proposal.

If a sub-association, sub-department or club established within the association ceases to operate, its funds remain with the association to be used primarily for the purpose for which they were collected.
After the association is dissolved, the union will retain its assets for three years, and if during this period a new registered association is not established in the association's domicile to which the assets could be transferred, the assets will go to the union.
§ 16
The acquired membership rights will be retained.
§ 17
Other provisions
The union's calculations based on the number of individual members represented by the association take into account the number of individuals who have paid the annual fee to the union as of the previous 31st of December and only in one association (see Section 3).
